Movetis NV, a European specialty pharmaceutical company focused on the commercialisation, discovery and development of drugs for the treatment of diseases in the GI area, on 8 December 2009 successfully completed its Initial Public Offering (IPO) raising the targeted €85 million. The offering consisted of a public offering in Belgium and a private placement to institutional investors elsewhere outside the US. As the over-allotment option has been exercised in full, the total amount of the capital increase amounts to €97.75 million.
The shares of Movetis have been admitted to trading on Euronext Brussels. Movetis' IPO is the first IPO by a European pharma/biotech company since early 2008.
The Eubelius team advising Movetis on its IPO was led by Lars Van Bever, Erwin Destuyver and Michael Truyen.

Warehouses De Pauw ("WDP"), a real-estate investment company (sicafi) specialized in semi-industrial and logistics property and listed on Euronext Brussels and Euronext Paris, on 30 June 2009 successfully completed a capital increase by way of a public offering with preferential rights for an amount of EUR 73,500,000.

During the first phase, 94.15% of the offered shares were subscribed for by way of exercise of preferential subscription rights. The unexercised preferential rights were offered as scrips to institutional investors by way of an accelerated bookbuilt offering (ABO).

The new shares were admitted to trading on Euronext Brussels and Euronext Paris on 30 June 2009.

The Eubelius team advising WDP on this transaction was led by Lars Van Bever, Erwin Destuyver and Michael Truyen.

There are at least as many women finding their way to law school and to the bar as there are men. But, in spite of this equal starting point, it appears that the number of women remaining at the bar after five to eight years steadily decreases, and women tend to disappear from the profession altogether higher up in the hierarchy of law firms.

Eleven renowned law firms, amongst which Eubelius, have decided to unite their strengths to tackle this problem by encouraging and supporting promising young women to build their careers within law firms.

Belgacom/Scarlet deal cleared in second phase investigation

The Belgian Competition Council on 7 November 2008 granted second phase clearance of the acquisition by Belgacom NV/SA of Scarlet N.V. The acquisition was hotly contested by almost all of Belgacom's competitors. Competition clearance eventually was obtained on the basis of detailed and innovative commitments offered by Belgacom and accepted by the Competition Council after a market test. Eubelius served as counsel to Belgacom. The Eubelius team that worked on the merger clearance application consisted of Hans Gilliams, Jan Bocken, Koen Baekelandt and Michael Vansteenbeeck.

Marieke Wyckaert, Eubelius Partner and head of the M&A and Corporate division, will be guest speaker at the "Legal, social and fiscal news" seminar organised by the Federation of Enterprises in Belgium (FEB) on the 9th October 2008.
The seminar will focus on "The new legal, social and fiscal framework covering cross-border mergers", whilst Marieke Wyckaert will specifically address the following topic: "Cross-border mergers: the how and why of the different methods in corporate law".
Marieke Wyckaert is Professor in corporate law at the Jan Ronse Instituut voor Vennootschapsrecht (Katholieke Universiteit of Leuven) and at the Katholieke Universiteit Brussel.

Jozef Lievens, Partner at Eubelius, was nominated member of the Private Sector Advisory Group (PSAG), a group of international experts in the field of corporate governance involved in the Global Corporate Governance Forum, an initiative of the World Bank.

Jozef Lievens is the author of "Governance in het Familiebedrijf. Sleutel tot succes" (Lannoo 2005), which was translated in French in 2006 under the title "La gouvernance dans les enterprises familiales. Les clefs du success" (Racine). The book was nominated management book of the year in Flanders in 2005.

Jozef Lievens is an active member of the Code Buysse.
