The Belgian Competition Council in October 2011 announced its intention to adopt Guidelines for the determination of fines in competition matters. The PPP project “BOVZO” of the Flemish public transport operator De Lijn for the design, the construction, the (pre)financing and the long term maintenance of a cluster of bus depots received the PPP Award 2011 at the National PPP Day on 15 September 2011.

The jury, presided by the Flemish PPP Knowledge Centre, especially praised the excellent cooperation and communication between the (public and private) partners.

The PPP team of Eubelius assisted De Lijn in all legal aspects of this project, as from the very start (structuring) until the deliverance of the works.

Jeroen Delvoie wins triennial prize Pierre Coppens

Jeroen Delvoie has received, ex aequo, the 2011 “Prix Pierre Coppens” of the Université Catholique de Louvain and the Revue Pratique des Sociétés for his book on organ theory in private law.

The prize seeks to honour a fundamental contribution to commercial law, or to another legal field in a matter related to commercial companies. It is granted every three years by an interuniversity jury from entries in French, Dutch, English, German, Italian and Spanish.

Jeroen received the award on 9 September 2011 from professor Pierre Coppens at the occasion of a ceremony held at the UCL.

This month the general treatise on company law is published in the well known series “Principles of Belgian private law” ( ‘Beginselen van Belgisch Privaatrecht’, Kluwer, ed. R. Dillemans and W. Van Gerven), written by Koen Geens and Marieke Wyckaert (with the assistance of Carl Clottens, Stijn De Dier en Floris Parrein).

This treatise provides the reader with an introduction on the history and the relation between common law and company law and the incorporation agreement. It is then followed by the participation in the company, the company in general and, more specifically, the legal personality in all their aspects: the essential constituent parts of the company (such as, e.g. , purpose, nature, form, pursuit of profit) and of the legal personality (such as, e.g., capacity, seat and name) but also governance and representation, accounts and audit, civil and criminal liability, its imputation or attribution, and winding up and liquidation. The treatise closes with chapters on the civil partnership, the silent partnership, the temporary partnership, the general partnership and the limited partnership.

This treaty starts from the general principles of company law and thus creates a kind of ‘safe harbour’ in the ever moving field of company law.

The authors are now planning a second part on the public and private limited liability company and on the co-operative company.

On 29 March 2011, the counteroffer by Bank J.Van Breda & C° SA on Antwerps Beroepskrediet SCRL has started. The offer price represents a premium of ca. 20% over the price of the initial public tender offer, launched by CMNE Belgium in December 2010. Eubelius acted as legal counsel to Antwerps Beroepskrediet and its reference shareholders.
